Terms of Use

These Terms of Use govern your access to and use of the myTransferPricing platform. By creating an account, accessing the platform, or using any of its features, you agree to be bound by these terms. If you do not agree, you must not use the platform.

Please also review our Privacy Statement and Disclaimer, which form part of your agreement with us.


1. Acceptance of Terms

By accessing or using the myTransferPricing platform, you confirm that:

  • You have read, understood, and agree to these Terms of Use in their entirety.
  • You are authorized to bind your organization to these terms if you are registering on behalf of a company, advisory firm, or other legal entity.
  • You are at least 18 years of age.
  • You will comply with all applicable local, national, and international laws and regulations in connection with your use of the platform.

If you are accessing the platform as an employee or representative of an organization, these terms apply to both you individually and the organization you represent. The person who creates the organization account and accepts these terms warrants that they have the authority to do so on behalf of that organization.


2. Description of Service

myTransferPricing is an enterprise SaaS platform that assists multinational companies and advisory firms with transfer pricing documentation under the OECD Base Erosion and Profit Shifting (BEPS) framework.

The platform provides the following capabilities:

  • Transfer pricing documentation: Template-based Word document generation using variable substitution, conditional logic, and data table insertion from uploaded Excel files.
  • Client and project management: Organize work by client, fiscal year, and project. Advisory firms can manage multiple clients; in-house tax departments manage a single default client.
  • AI-powered features: AI-assisted content suggestions, document analysis, data extraction recommendations, and drafting assistance, powered by third-party AI models. AI features are subject to credit limits based on your subscription plan.
  • Audit logging: Comprehensive tracking of all actions performed on the platform for security and compliance purposes.
  • Document storage and versioning: Upload, store, and manage document templates and generated outputs with version history.

The platform is a productivity tool designed to support professional workflows. It does not provide tax advice, legal advice, or accounting advice. All outputs require professional review before use. See our Disclaimer for full details.


3. Account Registration and Security

3.1 Organization-Based Accounts

myTransferPricing uses an organization-based account model. An organization administrator creates the organization account and is responsible for inviting and managing users within that organization. Individual users cannot self-register; accounts are created by organization or platform administrators.

3.2 Account Information

When your account is created, the following information is required:

  • First name, last name, and email address
  • A strong password meeting the platform's complexity requirements

Additional profile information (phone number, timezone, preferences) may be provided optionally.

3.3 Password and Authentication Requirements

You are responsible for maintaining the security of your account credentials. This includes:

  • Choosing a strong password and not reusing it across other services.
  • Enabling two-factor authentication (2FA/TOTP) when available or when required by your organization's security policy.
  • Never sharing your login credentials, OTP codes, or 2FA recovery codes with anyone.
  • Logging out of the platform when using shared or public devices.

3.4 Account Security Responsibility

You are responsible for all activity that occurs under your account. If you become aware of any unauthorized use of your account, you must notify your organization administrator and contact us immediately.

We implement account lockout mechanisms, rate limiting, and session management to help protect your account. However, these measures cannot prevent all unauthorized access, and you bear responsibility for safeguarding your credentials.

3.5 Organization Administrator Responsibilities

Organization administrators are responsible for:

  • Managing user accounts within their organization (creating, deactivating, and assigning roles).
  • Ensuring that only authorized individuals have access to the organization's data.
  • Setting appropriate organization-level security policies, including 2FA enforcement.
  • Removing access promptly when users leave the organization or no longer require access.

4. Subscription Plans and Billing

4.1 Subscription Tiers

myTransferPricing offers subscription plans tailored to two customer types:

  • Advisory firms: Plans designed for firms managing transfer pricing documentation for multiple clients, with multi-client management and team-based user seat allocation.
  • In-house tax departments: Plans designed for corporate tax teams managing their own transfer pricing documentation, with a single default client.

4.2 Plan Limits

Each subscription plan includes defined limits for:

  • Number of users: The maximum number of active user accounts in your organization.
  • Number of clients: The maximum number of clients your organization can manage (advisory plans only).
  • Storage: The total file storage available for uploaded templates, data files, and generated documents.
  • AI credits: The number of AI-assisted operations available per billing period.

Exceeding plan limits may result in restricted access to certain features until limits are increased through a plan upgrade.

4.3 Billing and Payment

Subscriptions are billed on a recurring basis (monthly or annually). All fees are quoted exclusive of applicable taxes unless stated otherwise. Payment is due at the start of each billing cycle. We reserve the right to suspend access if payment is not received within a reasonable period.

4.4 Price Changes

We may adjust subscription pricing from time to time. Price changes will be communicated in advance and will take effect at the start of your next billing cycle. Continued use after a price change constitutes acceptance of the new pricing.


5. Cancellation and Termination

5.1 Cancellation by You

You may cancel your subscription at any time. Upon cancellation:

  • No refunds will be issued for any unused portion of a billing period that has already been paid.
  • Your access to the platform will continue until the end of the current billing period.
  • After the billing period ends, your account will be downgraded and access to paid features will be restricted.

5.2 Data Export After Cancellation

After cancellation, you will be provided a reasonable window (no less than 30 days after the end of your final billing period) to export your data using the platform's download and export features. After this window, we reserve the right to delete your organization's data.

We recommend exporting all important documents, templates, and data before your access expires.

5.3 Termination by Us

We reserve the right to suspend or terminate your account, without refund, if:

  • You violate these Terms of Use, including the Acceptable Use Policy.
  • You fail to pay subscription fees after reasonable notice and an opportunity to cure.
  • Your use of the platform poses a security risk to the platform or other users.
  • We are required to do so by law or a court order.
  • Your account has been inactive for an extended period (we will provide notice before terminating inactive accounts).

Where possible, we will provide notice before termination and an opportunity to export your data, except where immediate termination is necessary.

5.4 Effect of Termination

Upon termination:

  • All rights granted to you under these terms cease immediately.
  • You must stop using the platform.
  • We may delete your data after the data export window, unless we are required to retain it for legal or compliance purposes.
  • Provisions that by their nature should survive termination (including Sections 7, 12, and 13) will continue to apply.

6. User Responsibilities

As a user of the platform, you agree to:

  • Provide accurate data. You are responsible for the accuracy and completeness of all data you enter into or upload to the platform.
  • Comply with applicable laws. You will use the platform in compliance with all applicable tax laws, transfer pricing regulations, data protection laws, and any other relevant legislation.
  • Review all outputs. You will review all documents, reports, and data generated by the platform before relying on them or submitting them to tax authorities. The platform produces drafts that require professional validation.
  • Use AI features responsibly. AI-generated content is provided as suggestions only and may be inaccurate. You will not rely on AI outputs without independent professional review.
  • Protect your credentials. You will not share your login credentials, including passwords, OTP codes, and 2FA recovery codes, with any other person.
  • Respect platform integrity. You will not attempt to interfere with the operation of the platform, circumvent security measures, or exploit vulnerabilities.
  • Maintain your own backups. The platform is not a backup service. You are responsible for maintaining independent copies of your critical data and documents.

7. Intellectual Property

7.1 Your Content

You retain full and complete ownership of all content you create, upload, or input into the platform. This includes, without limitation:

  • Document templates and generated documents
  • Client data and project information
  • Financial data, intercompany transaction details, and fiscal year records
  • Uploaded Excel files, Word templates, and other files

We do not claim any ownership rights over your content. We process your content solely to provide the platform's services to you. We do not use your content to train AI models.

7.2 Platform Intellectual Property

All intellectual property in the myTransferPricing platform itself belongs to [Your Legal Entity Name]. This includes the platform's source code, user interface design, name, logo, brand identity, and any proprietary algorithms or workflows.

7.3 Restrictions

You may not:

  • Copy, modify, reverse engineer, decompile, or disassemble any part of the platform's software.
  • Create derivative works based on the platform.
  • Remove, alter, or obscure any proprietary notices on the platform.
  • Use the myTransferPricing name, logo, or brand identity without our prior written consent.
  • Sublicense, resell, or redistribute access to the platform to third parties outside your organization.

7.4 Feedback

If you provide suggestions, ideas, or feedback about the platform, we may use that feedback to improve the platform without any obligation or compensation to you. Feedback does not transfer any intellectual property rights in your content to us.


8. Data and Privacy

Our collection, use, and protection of personal data is governed by our Privacy Statement. By using the platform, you acknowledge that you have read and understood our privacy practices.

We process your data solely to provide the platform's services. The platform implements strict organization-level data isolation through Row Level Security (RLS) policies at the database level. Users within one organization cannot access data belonging to another organization.

Your organization is the data controller for client and project data it enters into the platform. [Your Legal Entity Name] acts as a data processor, processing that data on your organization's behalf to provide the service.


9. AI Features

The platform includes AI-powered features that use third-party large language models accessed through the Vercel AI Gateway. These models are provided by companies including Anthropic, OpenAI, Google, and others.

Important limitations:

  • AI outputs are not advice. AI-generated content is provided as suggestions only. It does not constitute tax, legal, or accounting advice.
  • AI outputs may be inaccurate. AI models can produce incorrect, incomplete, or misleading information. You must independently verify all AI-generated content before relying on it.
  • Credit limits apply. AI features are subject to usage limits based on your subscription plan.
  • Third-party processing. When you use AI features, your prompts may be transmitted to third-party AI providers for processing. See our Privacy Statement for details.
  • Availability not guaranteed. AI features depend on third-party providers and may be temporarily unavailable.

10. Acceptable Use Policy

You agree not to use the platform to:

  • Violate any law or regulation, including tax laws, data protection regulations, export controls, or sanctions.
  • Submit fraudulent or misleading data or produce documentation intended to deceive tax authorities or facilitate tax evasion.
  • Gain unauthorized access to other organizations' data, other users' accounts, or platform infrastructure.
  • Interfere with platform operations, including denial-of-service attacks, excessive automated requests, or exploitation of rate limits.
  • Scrape or harvest data using automated tools beyond the platform's intended export features.
  • Upload malicious content, including viruses, malware, or other harmful code.
  • Circumvent security measures, including authentication, authorization, or rate limiting controls.
  • Impersonate others or create accounts under false identities.
  • Abuse AI features to generate harmful, deceptive, or illegal content, or attempt to extract system prompts.

We reserve the right to investigate suspected violations and to suspend or terminate accounts that violate this policy.


11. Service Availability

myTransferPricing is a web-based application. It is not a cloud storage service, backup service, or archival solution. While we store your data as part of providing the service, you are responsible for maintaining your own independent backups.

We aim to keep the platform available at all times. However, we do not guarantee any specific level of uptime or availability. The platform may be temporarily unavailable due to:

  • Planned maintenance: We will make reasonable efforts to schedule maintenance during low-usage periods and to notify users in advance.
  • Unplanned outages: Technical failures, infrastructure issues, or third-party provider outages may cause unplanned downtime.
  • Force majeure: Events beyond our reasonable control, including natural disasters, power outages, telecommunications failures, or cyberattacks.

Unless separately agreed in writing, we do not provide a Service Level Agreement (SLA) with guaranteed uptime percentages or response times.

We reserve the right to modify, update, or discontinue features of the platform at any time. We will provide reasonable notice for material changes.


12. Limitation of Liability

To the fullest extent permitted by applicable law:

  • No indirect damages. [Your Legal Entity Name] shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the platform. This includes damages for loss of profits, loss of data, loss of goodwill, or business interruption.
  • Liability cap. Our total aggregate liability shall not exceed the total amount you have paid to us during the twelve (12) months immediately preceding the event giving rise to the claim.
  • No liability for outputs. We are not liable for any loss, damage, penalty, tax assessment, or regulatory action resulting from reliance on documents, reports, data, or AI-generated content produced by the platform.
  • No liability for third-party services. We are not liable for outages, errors, or data processing practices of third-party service providers.

Some jurisdictions do not allow the exclusion or limitation of certain types of liability. In such jurisdictions, our liability shall be limited to the greatest extent permitted by applicable law.

13. Governing Law and Dispute Resolution

These Terms of Use and any dispute arising out of or in connection with the platform shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Any disputes shall be submitted to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands.

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms of Use, together with the Privacy Statement and Disclaimer, constitute the entire agreement between you and [Your Legal Entity Name] regarding your use of the platform.


14. Changes to These Terms

We reserve the right to modify, update, or replace these Terms of Use at any time. The “Last updated” date at the top will reflect the most recent revision.

Material changes will be communicated to users through the platform. For significant changes that affect your rights or obligations, we will aim to provide at least 30 days' notice before the changes take effect.

Your continued use of the platform after any changes constitutes your acceptance of the updated terms. If you do not agree with the revised terms, you must stop using the platform and cancel your subscription.
